THE "IBT" NETWORK'S I-INVESTOR DIRECT Plan enables you to purchase shares of the Company's Common Stock without brokerage commissions or service charges. You do not have to be a current shareholder of THE "IBT" NETWORK to participate in the Plan.
You can purchase your first shares of THE "IBT" NETWORK Common Stock by making an initial investment of not less than
$250 and not more than $100,000.

Effective February 2003 the I-INVESTOR DIRECT Plan will offer weekly "Investment Dates," replacing the twice-a-month schedule described in the prospectus. An Investment Date for optional investments will now occur each Thursday. If that day is not a business day, the Investment Date will be the business day immediately following that Thursday. Optional investments must be received no later than two business days before an Investment Date. Automatic bank draft funds will continue to be drawn on the 16th of each month or, if that date falls on a non-business day, the next business day. If the draft occurs on any day other than a Friday, the funds will be invested during the same week. Bank drafts occurring on a Friday will have an Investment Date in the following week.
